Terms of Service
Contents
1. Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and SharifBot ("Company", "we", "us", or "our"), governing your access to and use of the SharifBot automated trading signal platform at sharifbot.com and any related applications or services (collectively, the "Service").
By creating an account, subscribing to the Service, or otherwise accessing or using any part of the Service, you affirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree, you must not access or use the Service.
We reserve the right to update these Terms at any time. We will notify you of material changes by email or by a prominent notice on the Service. Your continued use of the Service after the effective date of any amendment constitutes your acceptance of the updated Terms.
2. Description of Service
SharifBot provides an automated cryptocurrency trading signal service powered by proprietary algorithmic strategies. The Service connects to supported cryptocurrency exchanges via API to execute trade signals generated by our system on your behalf.
The Service provides automated trade execution based on algorithmic signals. It does not provide personalised financial advice, investment advice, tax advice, or legal advice. Nothing communicated through the Service should be construed as a recommendation to buy, sell, or hold any financial instrument.
Our trading strategies are designed to be Shariah-compliant, focusing on halal assets and avoiding instruments that involve interest (riba), excessive uncertainty (gharar), or prohibited industries. However, the determination of Shariah compliance is ultimately a matter of scholarly interpretation — see Section 6 for our full disclaimer.
Supported exchanges include Binance and Coinbase, with additional exchanges to be added at our discretion. The availability of specific features may vary by exchange. We do not guarantee uninterrupted access to any third-party exchange.
3. Agency Relationship (Wakala)
The relationship between SharifBot and each User in respect of trade execution is structured as a Wakala — a recognised Islamic agency contract in which you (the principal, or muwakkil) appoint SharifBot as your agent (wakil) to act on your behalf within the specific and limited scope described in these Terms.
By connecting your exchange account and activating automated trading, you formally appoint SharifBot as your agent for the sole purpose of placing and closing spot trades on your exchange account in accordance with our algorithmic signals. The following conditions define and limit this agency:
- Scope of authority: SharifBot's authority as your agent is strictly limited to placing market buy and sell orders on your behalf. It does not extend to withdrawals, transfers, account modifications, or any other action beyond trade execution and the reading of account data required to operate the Service.
- Principal retains ownership: You remain the sole legal and beneficial owner of all funds, digital assets, and your exchange account at all times. SharifBot holds no proprietary interest in your assets.
- Fixed agency fee: The subscription fee constitutes the Wakala fee — a fixed consideration for the agent's services, independent of the outcome of any trade. SharifBot does not take a share of profits or bear any share of losses.
- Agent acts on instructions: SharifBot executes trades in accordance with pre-defined algorithmic criteria, not at its own discretion for its own benefit. The trading parameters and risk controls are set by the system, and you may suspend or revoke this agency at any time by revoking your API keys or cancelling your subscription.
- No guarantee of outcome: A Wakala agent is not liable for losses arising from the principal's authorised activities provided the agent has not acted negligently or in bad faith. SharifBot is not liable for trading losses that result from market movements, exchange failures, or the inherent uncertainty of financial markets.
- Revocability: This agency is revocable by you at any time without penalty beyond the applicable notice period for subscription cancellation set out in Section 9 (Subscription and Billing).
This Wakala structure is intended to reflect the Islamic principle that an agent acts in trust (amanah) on behalf of a principal. SharifBot does not manage a pooled fund, does not hold client money, and does not exercise discretionary control beyond executing pre-defined signals on your individual account.
This agency arrangement is governed by the laws of England and Wales. The use of the term "Wakala" reflects the intended Islamic legal character of the arrangement and is offered for the benefit of Users seeking Shariah-compliant structuring; it does not alter the rights or obligations of either party under English law as set out in these Terms.
4. Eligibility
To use the Service you must:
- Be at least 18 years of age;
- Have the legal capacity to enter into a binding contract in your jurisdiction;
- Not be located in, under the control of, or a national or resident of any country subject to applicable trade sanctions or embargoes (including, without limitation, those maintained by the United Kingdom, European Union, and United Nations);
- Not be a person barred from receiving services under the laws of the United Kingdom or any other applicable jurisdiction.
The Service is not available to residents of certain jurisdictions where cryptocurrency trading or associated services are prohibited or restricted. It is your responsibility to ensure your use of the Service complies with all laws applicable to you. We reserve the right to restrict access from any region at any time.
5. Account Registration
To access the Service, you must create an account by providing accurate, current, and complete information. You agree to:
- Keep your registration information accurate and up to date;
- Maintain the security and confidentiality of your password and account credentials;
- Not share your account with any other person or allow any other person to access the Service using your credentials;
- Notify us immediately at support@sharifbot.com if you suspect any unauthorised access to your account;
- Accept responsibility for all activities that occur under your account.
We reserve the right to suspend or terminate accounts that we believe have been compromised, that are being used fraudulently, or that are in violation of these Terms.
6. API Key Usage
SharifBot never requests, stores, or uses API keys with withdrawal permissions. Your funds remain in your exchange account at all times and can only be moved by you.
By connecting an exchange account to the Service, you:
- Grant SharifBot permission to access your exchange account using the API key(s) you provide, solely for the purpose of executing trade signals and reading account data as necessary to operate the Service;
- Confirm that you will only provide API keys with read-only and trade-execution permissions — you must not provide keys with withdrawal authority;
- Acknowledge that trades executed on your behalf may result in financial gains or losses, and that SharifBot is not liable for any such outcomes;
- Accept that you are responsible for any exchange fees, taxes, or other costs arising from trades executed on your account;
- Understand that you may revoke API access from your exchange at any time, which will suspend the Service on your account.
You remain the owner of your exchange account and all assets held therein at all times. SharifBot does not custody, hold, or have beneficial ownership of any of your funds or digital assets.
User Controls and Responsibility
The Service provides the following controls which you are solely responsible for configuring and maintaining:
- Capital limit: You may set a maximum capital amount (in USDT) that the Service is permitted to deploy across open positions at any time. If no limit is set, the Service will operate within the risk parameters of your chosen plan. It is your responsibility to set a capital limit appropriate to your financial circumstances and risk tolerance.
- Trading pause: You may pause all automated trading activity at any time from your account dashboard. When trading is paused, no new positions will be opened. Existing open positions will continue to be managed and may be exited by the system in accordance with normal exit logic.
- API key revocation: You may revoke the Service's access to your exchange account at any time by deleting the API key from your exchange. This will immediately prevent any further trade activity.
You are solely responsible for configuring your capital limits and for pausing trading when appropriate. SharifBot is not liable for any losses arising from your failure to set a capital limit, your failure to pause trading, or any delay between your instruction and the system acting on it due to technical latency or exchange connectivity issues.
SharifBot will act on the settings you have configured at the time each trading cycle runs. It is your responsibility to ensure your settings reflect your current intentions. We do not accept liability for trades executed in accordance with settings you previously configured but subsequently wished to change.
7. Shariah Compliance Disclaimer
SharifBot's trading strategies are designed with the aim of being compliant with Islamic financial principles (Shariah). Our strategies seek to:
- Avoid riba (interest) by not using leveraged products, margin trading, or interest-bearing instruments;
- Avoid gharar (excessive uncertainty) by focusing on spot trades with transparent pricing;
- Avoid investment in industries considered haram (forbidden) under mainstream Islamic scholarly opinion;
- Operate within the principles of permissibility (halal) as understood in contemporary Islamic finance.
We do not provide Islamic legal (fatwa) opinions. Scholarly views on cryptocurrency and automated trading differ. It is your personal responsibility to satisfy yourself as to the permissibility of using this Service under your own religious obligations. We recommend consulting a qualified Islamic finance scholar if you have any doubt.
SharifBot makes no warranty that its strategies will be deemed Shariah-compliant by any particular scholar, school of thought, or regulatory body. The Company shall not be liable for any claim arising from a User's determination that a particular trade or strategy was not permissible under Islamic law.
8. Risk Disclaimer
Cryptocurrency trading involves substantial risk of loss. Before using the Service, you should carefully consider whether trading is appropriate for you in light of your financial circumstances, investment objectives, and risk tolerance.
- Past performance is not indicative of future results. Any historical returns, performance data, or projections shown on the Service are for illustrative purposes only and do not guarantee future performance.
- Cryptocurrency markets are highly volatile and can move rapidly and unpredictably. You may lose some or all of the funds you allocate to trading.
- Automated trading systems, including SharifBot, may malfunction due to technical errors, connectivity issues, or exchange outages. We do not guarantee uninterrupted service.
- Regulatory changes affecting cryptocurrency markets may adversely affect the value of your assets or your ability to trade.
- SharifBot is not authorised or regulated by the Financial Conduct Authority (FCA) or any other financial regulatory authority. The Service does not constitute regulated financial advice.
You acknowledge that you are trading at your own risk and that SharifBot shall not be liable for any financial losses you incur through use of the Service.
9. Subscription and Billing
Access to the Service is provided on a subscription basis. By subscribing, you agree to the following:
- Billing cycle: Subscription fees are billed in advance on a monthly or annual basis, or as a one-off payment for a fixed multi-year term ("Full Cycle" plan), as selected at the time of purchase.
- Full Cycle plan: The Full Cycle plan is a single up-front payment covering a fixed four-year term of Pro access. It does not auto-renew. You may cancel within the 14-day statutory cooling-off period for a refund (less a proportionate charge for service already provided, where you asked for the Service to start immediately). After the cooling-off period the Full Cycle fee is non-refundable, and your access continues for the full four-year term.
- Payment: Payments are processed by our third-party payment provider (Stripe). You must provide valid payment information and keep it current. We are not responsible for failed transactions due to incorrect or expired payment details.
- Renewal: Subscriptions auto-renew at the end of each billing period unless cancelled before the renewal date. You will receive a reminder email prior to renewal.
- Cancellation: You may cancel your subscription at any time from your account dashboard. Cancellation takes effect at the end of the current billing period; no partial refunds are issued for unused time unless required by law.
- Price changes: We reserve the right to change subscription pricing for new subscriptions. Price increases do not apply to existing subscribers: the rate in effect when you subscribed remains your rate for as long as your subscription remains continuously active. If your subscription lapses and you later re-subscribe, the then-current pricing applies.
- Refunds: Subscription fees are generally non-refundable except where required by applicable consumer law. If you believe you are entitled to a refund, please contact support@sharifbot.com within 14 days of the charge.
All prices are quoted in GBP (or as displayed) and are exclusive of any applicable taxes, which are your responsibility to pay.
10. Prohibited Uses
You agree not to use the Service to:
- Engage in any activity that violates applicable laws or regulations, including financial services laws or anti-money laundering regulations;
- Attempt to gain unauthorised access to the Service, other users' accounts, or our systems or networks;
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code or underlying algorithms of the Service;
- Introduce viruses, malware, or any other malicious code to the Service;
- Use automated tools (bots, scrapers, crawlers) to access or interact with the Service other than through our supported API integrations;
- Resell, sublicence, or otherwise commercialise access to the Service without our prior written consent;
- Impersonate any person or entity or misrepresent your affiliation with any person or entity;
- Manipulate or artificially influence market prices through use of the Service;
- Circumvent any access controls, rate limits, or security measures implemented by us or our partner exchanges.
Violation of any of these prohibitions may result in immediate suspension or termination of your account and may be referred to relevant law enforcement authorities.
11. Termination
Either party may terminate the agreement formed by these Terms at any time:
- By you: by cancelling your subscription and ceasing to use the Service.
- By us: we may suspend or terminate your access to the Service immediately, without notice, if we determine (in our sole discretion) that you have breached these Terms, engaged in fraudulent or illegal activity, or if we are required to do so by law or court order.
Upon termination, your right to use the Service ceases immediately. Sections of these Terms that by their nature should survive termination (including Sections 3, 7, 8, 12, and 13) will continue to apply.
We will delete your personal data in accordance with our Privacy Policy following termination of your account.
12. Limitation of Liability
To the fullest extent permitted by applicable law:
- The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
- SharifBot does not warrant that the Service will be uninterrupted, error-free, or free of harmful components, or that defects will be corrected.
- In no event shall SharifBot, its directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, trading losses, or reputational harm, arising out of or in connection with your use of the Service.
- Our total aggregate liability to you for any claim arising out of or in connection with these Terms or the Service shall not exceed the total subscription fees paid by you to us in the 12 months immediately preceding the event giving rise to the claim.
Nothing in these Terms limits or excludes our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be limited or excluded under applicable law.
13. Governing Law
These Terms are governed by and construed in accordance with the laws of England and Wales. Any dispute arising out of or in connection with these Terms, including any dispute as to their existence, validity, or termination, shall be subject to the exclusive jurisdiction of the courts of England and Wales, unless both parties agree in writing to an alternative dispute resolution mechanism.
If any provision of these Terms is found to be invalid, unlawful, or unenforceable, that provision shall be severed from the remaining Terms, which shall continue in full force and effect.
Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision.
